Corporate Responsibility
Governance is not a constraint on building good technology — it is part of what makes technology trustworthy.
Upanishi Holdings Limited is structured to meet the standards expected by institutional partners, regulatory bodies and international platforms. This page sets out our approach to governance, compliance, privacy and transparency.
Upanishi Holdings Limited approaches corporate governance not as a compliance exercise but as a core component of building sustainable technology. We believe that companies which embed sound governance from the outset are better positioned to earn the trust of partners, regulators and the communities they serve.
The company maintains its statutory obligations under the Companies Act (Kenya), including the filing of annual returns, maintenance of the register of members and directors, and the proper conduct of board-level decision-making.
Upanishi Holdings Limited works with professional legal and tax advisers to ensure that its corporate structure, contracts and obligations are properly constituted and maintained. We do not rely solely on internal judgement for matters requiring specialist expertise.
This includes advice on corporate law, intellectual property, data protection, employment and tax compliance. Engaging qualified professionals is a standard part of how the company operates.
Privacy, compliance and transparency are incorporated into the company's operations before any regulated service is launched — not added retrospectively. Where a product or service involves the processing of personal data, the company conducts the necessary assessments and puts appropriate safeguards in place prior to launch.
This approach reflects our obligations under the Kenya Data Protection Act (2019) and our broader commitment to responsible data stewardship. We do not treat compliance as a minimum threshold — we treat it as a standard of conduct.
The company is at an early stage of its development. Products and services currently under development are clearly distinguished from operational services. We do not represent products as available or operational until they have been properly constituted, tested and made ready for use.
This distinction is maintained in all internal documentation, external communications and representations to partners and platforms. We believe that clarity about the status of our products is a matter of integrity.
Where Upanishi Holdings Limited engages with third-party platforms — including digital advertising, social media and communications platforms — it does so in accordance with those platforms' terms of service and verification requirements.
The company supports business verification processes and maintains the documentation necessary to participate in them accurately and transparently. All representations made in such processes are factual and supported by the company's records.
We are committed to being transparent with our stakeholders about who we are, what we do and how we operate. This website, our governance documentation and our legal policies are part of that commitment.
We do not make claims about our products, partnerships or achievements that are not accurate. We do not use language designed to create impressions that are not supported by fact.
